Accepted Answer

No — and this is by design. USPTO TEAS has no filing API; we generate a complete pre-fill sheet you paste into uspto.gov. For incorporation, we link out to Stripe Atlas, Clerky, Firstbase, or Wyoming SoS for the actual filing. We do the prep, you click submit.

Pick Delaware if you're raising institutional capital — VCs expect it and every term-sheet template assumes Delaware corporate law. No. Persoona IP gives you solid first drafts that match Cooley GO / YC Library standards and the DGCL or Wyoming Business Corporation Act defaults — good enough that you don't pay $3,000 in attorney time for boilerplate. What is the 83(b) election and why does it matter?

A Section 83(b) election is a tax filing you make within 30 days of receiving restricted founder stock. It lets you pay tax on the (typically tiny) fair market value at issuance instead of the future value when shares vest — which is enormous on a successful exit. Missing the 30-day window is irreversible. The Persoona IP Stock Purchase Agreement ships with a fill-in-the-blanks 83(b) letter as Exhibit A.
